Contract Law

Our law office provides legal consultancy and attorney services in disputes arising from company formations, commercial contracts, partnership relations, unfair competition, negotiable instruments and commercial receivables. Commercial transactions, as well as mediation and litigation processes, are meticulously followed, taking into account the legal and economic interests of businesses.

Contract Law

Contract law is the area of law that regulates legal relationships established between natural or legal persons, the mutual rights and obligations of the parties, the performance of obligations, and the consequences arising from the termination of the contract. Many transactions carried out in daily life and commercial activities are based on contracts, even if the parties are not aware of this.

A clear and understandable contract that reflects the parties’ true intentions helps ensure that obligations are properly defined, legal risks are reduced, and disputes that may arise in the future are prevented. Standard or inadequately prepared contracts, on the other hand, may lead to loss of rights, financial liabilities, and lengthy legal proceedings.

Attorney Yıldız Şahin provides legal consultancy and attorney services to natural persons, companies, and other legal entities during the preparation, review, negotiation, amendment, implementation, and termination of contracts. Each contract is prepared by taking into consideration the parties’ objectives, legal status, field of activity, obligations undertaken, and the risks that the transaction may entail.

Preparation and Review of Contracts

When preparing a contract, in addition to the parties’ identity and authority details, the subject matter of the contract, the scope of the performances, payment terms, delivery or service periods, and areas of responsibility must be clearly specified. In addition, securities, penalty clauses, force majeure events, confidentiality obligations, grounds for termination, and dispute resolution methods must be regulated in a manner appropriate to the specific transaction.

Attorney Yıldız Şahin evaluates whether the provisions contained in contracts comply with the applicable legislation, whether they establish a balance of rights and obligations between the parties, and the legal consequences they may have for the client. Legal support is provided for identifying ambiguous, contradictory, or difficult-to-implement provisions in existing contracts and making the necessary amendments.

Contract Negotiations

Contract negotiations are an important stage during which the parties seek to reach agreement not only on commercial terms but also on the legal responsibilities they will undertake. It should be taken into consideration that commitments made and correspondence exchanged during negotiations may give rise to legal consequences in the future.

During the negotiation process, legal consultancy services are provided for evaluating contractual provisions, preparing proposed amendments, reviewing texts submitted by the other party, and protecting the client’s legal interests.

Breach of Contract and Compensation Claims

If one of the parties fails to perform its obligation at all or properly, delays performance, or acts contrary to the obligations it has undertaken under the contract, the other party may have legal rights such as specific performance, claims for payment, compensation, withdrawal from the contract, or termination.

In the event of a breach of contract, legal support is provided in the processes of preparing a notice of default, placing the other party in default, preserving evidence, determining the damage, and pursuing the necessary litigation or enforcement proceedings.

Termination, Cancellation, and Adaptation of Contracts

When terminating a contract, the termination provisions contained in the contract and the statutory regulations must be assessed together. Termination procedures that do not comply with the applicable procedure or contractual conditions may result in compensation and other financial liabilities.

In cases such as mistake, deception, intimidation, exploitation of undue advantage, lack of form, or violation of mandatory provisions, the validity of the contract may become questionable. If the conditions change extraordinarily after the contract has been concluded, the options of adapting or terminating the contract may be evaluated according to the circumstances of the specific case.

Attorney Yıldız Şahin conducts work concerning contract law in accordance with the principles of legal certainty, good faith, contractual commitment, and respect for the parties’ intentions. Since each contract and dispute is unique, the legal course of action to be followed is determined within the framework of the nature of the transaction, the circumstances of the parties, and the current legislation.
